Persons submitting or uploading any photograph or media that may be posted or displayed on the website (“the Website”) maintained by Sonic of CT or otherwise used by SONIC® for advertising and other promotional purposes acknowledge that they give their full and unconditional agreement to and acceptance of these Terms and Conditions of Use.
Only legal residents of the 50 United States who are at least 18 years of age or older as of the date you submit or upload any photograph or media to the Website (or have your parent/legal guardian’s permission to submit or upload any photograph or media should you be a minor in your state of residence). Persons who upload any photograph or media to the Website shall be subject to all applicable federal, state and local laws and regulations.
Persons wishing to upload any photograph or media that may be posted on the Website must follow the instructions to submit or upload an image of themselves and/or their friends/family at a SONIC® Drive-In with their favorite menu item at SONIC®. All images must show or depict persons at a SONIC® Drive-In with a SONIC® menu item in the manner in which it was meant to be shown, depicted and/or consumed. In the event that any material includes the image of any person other then the person submitting the image, the person submitting the image must have the permission of anyone featured in the submitted image or material. No image or materials submitted may include lewd, illegal or immoral content.
Persons submitting or uploading any media to the Website represent and warrant that (i) the person submitting the photos or media has the permission of all persons featured in the Entry to enter this Contest, (ii) the submission is the original work of the person submitting the material and must be exclusively owned by the person submitting the material prior to submission and (iii) the person submitting the material agrees to defend, hold harmless and indemnify SONIC® and its parents, subsidiaries, affiliates, franchisees and advertising and promotional agencies (“the SONIC® Entities”) against any and all claims, including claims of alleged or actual infringement of any intellectual property rights, proprietary rights, rights of privacy and publicity, moral rights and rights of attribution raised by third parties against the SONIC® Entities in connection with any material submitted. Any material submitted must not have been previously published. Submitted materials must be in keeping with SONIC®‘s image and may not be offensive, as determined by SONIC® or the SONIC® Entities in their sole discretion, nor can it defame or invade publicity rights or privacy rights of any person, living or deceased, or otherwise infringe upon any person’s personal or proprietary rights. The SONIC® Entities reserves the right in their sole discretion to decline to use any material that is submitted at any time and for any reason in the event it is determined that the material does not meet the above-stated criteria or for any other reason including, but not limited to, the failure to comply with these Terms and Conditions of Use.
Persons submitting or uploading any material to the Website understand and acknowledge that by submitting any such materials they are not entering or participating in any contest or sweepstakes and furthermore acknowledge that they will receive no compensation or remuneration of any kind in exchange for such submissions.
Except where prohibited by law, by submitting or uploading materials to the Website, each person submitting such materials agrees that SONIC® and its designees may use the name, likeness and photographic image of the person submitting the image (and any other persons shown therein) for advertising, promotional and other purposes in any and media now or hereafter known (including the right to post Entry on the Website and any other media) without further compensation, notification or release. Neither SONIC® or the SONIC® Entities or their respective officers, directors, employees or agents of the forgoing (collectively, the “Released Parties”) are responsible for any injury, losses or damages of any kind resulting from the submission of any materials. Released Parties assume no responsibility for notifying any person submitting any materials as to why any such materials are not used by SONIC® or the SONIC® Entities. In addition, Released Parties assume no liability for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of any material submitted. Released Parties are not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any technical component of the Website, or any combination thereof, including any injury or damage to or any person’s computer related to or resulting from participation in or uploading or submitting any materials in to the Website as contemplated herein. CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE WEBSITE IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SONIC® ENTITES RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
By submitting or uploading any material to the Website, each person submitting or uploading such materials agrees that SONIC® of CT shall own the material submitted (including all rights embodied therein) and that it and its designees may exploit all elements of such entry in any and all media now known or not currently known (including the right to post the material on the Website and to use the material in any other promotional or advertising media), without compensation to the person submitting the material or any third party and without limitation to time or territory. SONIC® of CT reserves all rights, including the right to edit, publish, use, adapt, exploit, modify, copy, disseminate, post or dispose of any submitted materials, online, in print, film, television, or in any other media for advertising and promotional or other purposes without compensation or notification to the entrant of any kind, except as prohibited by law.
The submission of any material shall be exclusively governed by and construed in accordance with the laws of the State of Connecticut, without regard to conflicts of law provisions. Persons submitting any materials (or their parent/legal guardian should they be a minor in their state of residence) submit to exclusive personal jurisdiction in Connecticut and agree that any dispute shall be resolved by binding arbitration to be held in Hartford, Connecticut via the Rules for Commercial Arbitration of the American Arbitration Association. In the event that arbitration is prohibited by law, any person submitting any materials agrees that any lawsuit or legal action with respect to any submitted materials must be brought in the state and federal courts in Hartford, Connecticut.
